FRIENDS OF FLORENCE COUNTY LIBRARY
By-Laws
Revised December 31, 2010

Article I – Name

The name of this Organization shall be Friends of Florence County Library.

Article II – Purpose

The purpose of the Organization shall be to establish closer relations between the Florence County Library and the people it serves; to promote informed interest in its functions, resources, services and needs; to confer with the Trustees and the Staff of the Library on matters relating to the welfare of the institution; to stimulate gifts, endowments and bequests to the Library; and to support the development of a program for the extension and improvement of the Library’s services and resources.

Article III – Membership and Dues

Section 1
All persons interested in the purpose of this Organization shall be eligible for membership upon payment of annual dues.
Section 2
Each member shall be entitled to vote and to participate in the work done by the various committees.
Section 3
Staff members and Trustees of the Florence County Library are eligible for membership but may not hold office or serve in any capacity other than that of a member at large.
Section 4
Annual dues are payable on the membership anniversary date. Those members not having paid within 90 days of the anniversary date will be deleted from membership.

Article IV – Officers

Section 1
The officers of this Organization shall be President, Vice-president, Secretary, and Treasurer, who shall be elected for terms of two years by the general membership at the Annual Meeting and take office immediately.
Section 2
The President, with the approval of the Executive Board, shall fill any vacancy occurring among the officers until an election at the next Annual Meeting.

Article V – Committees

Section 1
The President may appoint a chairman for each of the following Standing Committees:

  1. Membership
  2. Programs and Events
  3. Public Relations
  4. Gifts and Endowments
  5. Legislative
  6. Arrangements

Each Chairman will choose the committee members and name such sub-committees as deemed appropriate.

Section 2
The President will appoint the Chairmen for such Temporary Committees as may be considered appropriate.
Section 3
All Committee chairs will submit all projects and proposed actions to the Executive Board for approval prior to carrying out such projects or actions.

Article VI – Executive Board

Section 1
The Executive Board shall be formed of the elective officers.
Section 2
A majority of the Executive Board shall constitute a quorum.
Section 3
The Library Director shall act in an advisory capacity to the Executive Board.
Section 4
There shall be at least six regular meetings of the Executive Board annually.
Section 5
Special meetings of the Executive Board shall be called by the President providing 24 hours notice has been given.
Section 6
The Executive Board shall manage the affairs of the Organization and shall have and exercise on its behalf all of the rights, powers and duties of the Organization other than the power to amend these By-Laws and the power to dissolve the Organization.
Section 7
No committee, officer, or member of the Organization shall have any authority to make any contract, or incur any indebtedness, obligation, or liability in the name of, or on behalf of, the Organization without the authority and approval of the Executive Board.

Article VII – Meetings

Section 1
There shall be at least one meeting of the membership each year.
Section 2
There shall be an annual meeting to elect officers, adopt a budget, and receive the annual reports of the Executive Board and to transact such other business as may come before it.
Section 3
Time and place of all meetings shall be determined by the Executive Board and adequate notification shall be given.
Section 4
Fifteen members shall constitute a quorum at all meetings of Friends of Florence County Library.

Article VIII – Nominating Committee

Section 1
The Nominating Committee shall consist of a chairman and two members.
Section 2
All nominees shall be members in good standing.

Article IX – Funds

Section 1
All funds shall be invested in the name of, or deposited to the account of, Friends of the Florence County Library, and shall be disbursed by the Treasure or President as authorized by the Executive Board.
Section 2
The Treasurer’s accounts shall be audited annually, and the Treasurer shall submit a written Financial report at the Annual Meeting.

Article X – Branch Groups

Section 1
The Executive Board shall promote the organization of neighborhood groups of Friends of Florence County Library around the several branch libraries and to be known as Friends of __________________Branch Library, respectively. The purpose of such local groups shall be the same as that of the Organization as a whole as expressed in Article II of these By-Laws, but with special reference to the Branch Library with which each local group is associated.
Section 2
Each branch group shall elect one of its members to serve as a member of the Executive Board of the Organization. The term of service of a branch representative shall be for two years. The Executive Board of the Organization shall, by resolution, determine the date when the term of office of a representative first chosen to represent a new branch group shall begin. Thereafter, the term of the branch representative shall begin the date of the Annual Meeting.

Article XI – Amendments

Amendments of these By-Laws can be enacted at any Annual Meeting of any membership meeting by two-thirds vote of those present, provided that there is a quorum and provided that the proposed change or changes have been presented to the membership in a written notice of the meeting or at a previous meeting.

Article XII – Parliamentary Procedure

Robert’s Rules of Order, Revised, when not in conflict with the By-Laws, shall govern the proceedings of this Organization.
